1. About these terms
These Terms of Service form the basis of the agreement between you and Radhive Pty Ltd (ABN 75 703 593 211) ("Radhive", "we", "us" or "our") whenever you engage us to provide professional business and consulting services, or when you use our website at radhive.online. By engaging us, accepting a written proposal or quote, or using our website, you agree to these terms.
In some cases, the parties may sign a separate engagement letter or service agreement. Where a signed engagement document conflicts with these terms, the signed document prevails to the extent of the inconsistency, and these terms apply otherwise.
2. Our services
Radhive provides professional business and consulting services, which may include business strategy, operations review, process improvement, financial and management reporting support, market analysis, and related advisory work. The specific scope, deliverables, timeline and fees for each engagement are set out in the written proposal or quote we provide and you accept.
We will perform our services with reasonable care and skill and in accordance with the agreed scope. Our advice is business and consulting advice only; it does not constitute legal, tax, audit or licensed financial product advice unless we expressly agree otherwise in writing.
3. Quotes, engagement and payment
- Quotes and proposals are valid for 30 days from the date issued unless otherwise stated.
- Work commences only after you accept the quote in writing and, where required, pay an agreed deposit.
- Invoices are payable within 14 days of issue by bank transfer or other agreed method.
- Late payments may attract reasonable administration costs, and we may pause or suspend work on overdue accounts after written notice.
- Work outside the agreed scope will be quoted separately before it is performed.
4. Your obligations
To enable us to deliver our services effectively, you agree to provide accurate and complete information, reasonable access to relevant personnel and records, and timely feedback on drafts and deliverables. Delays caused by unavailability of information or decisions may affect timelines, and we will notify you if this occurs.
5. Australian Consumer Law guarantees
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law in Australia that cannot lawfully be excluded, restricted or modified.
Where the Australian Consumer Law applies and we supply services to you, our services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the services remedied or supplied again if the services fail to be of acceptable quality and the failure does not amount to a major failure.
6. Limitation of liability
To the fullest extent permitted by law, and subject always to section 5, our total liability arising out of or in connection with an engagement is limited, at our option, to resupplying the relevant services or paying the cost of having the services supplied again. We are not liable for indirect or consequential loss, loss of profit, or loss of business opportunity, except where such loss arises from our failure to comply with a non-excludable guarantee under the Australian Consumer Law.
You are responsible for the business decisions you make on the basis of our advice. Our deliverables are prepared for your internal use and for the purposes stated in the engagement, and should not be relied upon by third parties without our prior written consent.
7. Intellectual property
All pre-existing materials we bring to an engagement (including templates, frameworks, methods and know-how) remain our property or the property of their owners. On full payment of our fees, you receive a non-exclusive, non-transferable licence to use the final deliverables we produce for your business purposes. You retain ownership of the materials you provide to us.
8. Confidentiality and privacy
We treat your business information as confidential and will not disclose it except as required to perform the services, with your consent, or as required by law. Our handling of personal information is described in our Privacy Policy, which forms part of these terms.
9. Termination
Either party may terminate an engagement by giving 14 days' written notice. If an engagement is terminated, you remain liable for fees for work performed up to the date of termination, and we will deliver or make available any completed or substantially completed work product.
10. Governing law
These terms are governed by the laws of the State of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from those courts.
11. Changes to these terms
We may update these terms from time to time. The current version will always be published on this page with a revised effective date. The terms that apply to your engagement are the version in force when you accept a quote or proposal, unless a later version is agreed in writing.
